Role & Key Responsibilities
As an M&A Senior Legal Counsel at Airbus, you will manage global transactions (acquisitions, divestments, joint ventures, and venture capital) across all Airbus divisions. Your core responsibilities will include:
- Transaction Management: Drafting and negotiating preliminary agreements and complex transaction documents (MoUs, LOIs, SPAs, Shareholders’ Agreements, and JV agreements).
- Due Diligence & Post-Closing: Managing and performing comprehensive legal due diligence and overseeing post-closing implementation.
- Risk Mitigation & Compliance: Monitoring compliance with international regulations, with a strong focus on Foreign Direct Investment (FDI) perspective and business integrity.
- Stakeholder Coordination: Collaborating closely with internal teams (Antitrust, Compliance, Tax, Finance, HR, and Real Estate) and advising top-level management clearly and concisely.
- External Counsel Management: Selecting, retaining, and managing external law firms cost-effectively.
- Travel: This role involves frequent international business travel, occasionally at short notice.
Eligibility Criteria & Qualifications
To be considered for this high-level legal role, candidates must possess the following qualifications:
- Bar Qualification: EU, US, or UK legal qualification is a strict prerequisite.
- Specialization: Focus on Business Law and/or Corporate Law.
- Experience: A minimum of 5 years of practicing international M&A experience.
- Skills: Strong drafting, negotiation, communication, and interpersonal skills to interface effectively with bankers, consultants, and top corporate executives.
- Mindset: Autonomous yet a strong team player, result-oriented, creative, and capable of prioritizing multiple projects under strict deadlines.
- Languages: Fluency/Negotiation level in English is mandatory. Proficiency in other Airbus languages (French, German, or Spanish) is highly advantageous.
