Key Responsibilities
- Draft, review and negotiate commercial, services, marketing/PR, technology, SaaS and licensing agreements, MSAs, NDAs, reseller/partner and consulting contracts
- Protect the company’s interests through clauses like limitation of liability, indemnity, data protection and termination
- Customise templates and build negotiation playbooks
- Advise procurement, finance, product, infosec and operations teams on rights, liabilities and risk
- Ensure compliance with the Indian Contract Act, IT Act, e-commerce guidelines and data protection laws
- Maintain legal trackers and contract repositories
- Manage legal SOPs and templates, run internal trainings, and support contract lifecycle automation
Requirements
- 8-10 years PQE in commercial contracts
- Experience in contract negotiation and legal advisory for procurement and commercial contracts
- Familiarity with Indian IT regulatory frameworks and e-commerce guidelines
- Strong drafting and redlining skills
- Strong negotiation skills with vendors, suppliers and partners
- Ability to work independently with minimal supervision
Good to Have
- Exposure to international contracting norms
- Knowledge of the DPDPA and its business implications
- Experience in internal audits, compliance checklists and vendor legal due diligence, especially in regulated businesses
