Key Responsibilities
Corporate & Transactional Advisory
- Corporate Advisory: Advise startups, growth-stage ventures, and established companies on corporate governance, board/shareholder matters, statutory compliance, foreign investment, and internal policies.
- M&A and VC Transactions: Manage venture capital deals, strategic investments, joint ventures, and restructurings from structuring and legal due diligence to signing and closing.
- Transaction Documentation: Draft, review, and negotiate term sheets, Subscription & Shareholders’ Agreements (SHA/SSA), Share Purchase Agreements (SPA), and Business Transfer Agreements (BTA).
Commercial Contracts & Emerging Tech
- Commercial Contracting: Draft and negotiate cross-border agreements, SaaS contracts, IP licensing, technology transfers, platform terms, distribution, and supply chain contracts.
- Emerging Technology & Regulation: Provide practical advisory on evolving legal frameworks surrounding AI products, drones/UAVs, defense technology, digital platforms, data-driven products, and regulated marketplaces.
Client & Stakeholder Ownership
- Independently manage client relationships and legal matters from intake to resolution under partner oversight.
- Lead discussions with key stakeholders including founders, CXO leadership, product managers, investors, and foreign counsel.
- Utilize AI tools responsibly to streamline legal research, drafting, and workflow efficiency while maintaining strict confidentiality and output verification.
Candidate Qualifications & Requirements
- Experience: 4–5 years of relevant PQE in general corporate, transactional, and commercial advisory at a reputed law firm, chamber practice, or corporate legal department.
- Drafting & Negotiation: Proven track record in drafting and negotiating complex corporate, investment, and commercial contracts.
- Tech & Product Aptitude: Strong affinity for emerging technology, software products, and complex business models with an ability to parse difficult regulatory questions.
- Client Management: Demonstrated ability to independently handle matters, manage deal deadlines, and communicate complex legal issues into actionable business insights.
- Tech Integration: Hands-on experience using modern AI-driven legal tools responsibly for research and document drafting.
